Reporting to the Associate General Counsel, Commercial, you'll be a key partner for other teams at Ramp and responsible for reviewing, negotiating, and advising on contracts with customers, vendors, and partners. You'll be an integral part of the Legal team as we strive to provide exceptional and efficient strategic legal and business advice. Our team goal is to enable Ramp to help our customers succeed while limiting Ramp's material legal risks. We hold ourselves accountable to results and foster a collaborative, transparent, inclusive, and fun work environment that allows us to grow personally and professionally.What You'll DoReview, revise, and negotiate all types of sales, partnership, and procurement agreementsProvide commercial legal advice to sales, partnership, and procurement teamsNegotiate and draft agreements, amendments, NDAs and other legal documentsEnsure compliance with relevant company policiesWork closely with deals desk to build processes and tools for negotiating sales agreements at scaleHelp build new processes to improve our team's and Ramp's efficiencyDrive consistency across deals by helping to optimize, streamline, and standardize contractual languageProvide ad-hoc legal advice where neededAssist in building playbooks and pre-approved terms for our deals deskHelp organize and create legal training for our Ramp colleaguesWhat You'll NeedA juris doctor (J.D.) degree from an ABA accredited law school3-5 years of professional experience as an attorney (this is a junior counsel role)Licensed in any U.S. state but eligible to practice in NY or CAExceptional communication skills, written and verbalPrior experience negotiating technology/SaaS agreements, NDAs, and data processing agreementsExcellent project management instinctsYou have a “get things done” mentality; you can dissect problems, identify solutions, and drive these solutions to completion with a high degree of autonomyYou are a true team player with a track record of successful cross-functional collaborationNice to HavesGraduated from a top-ranked law school or have demonstrated academic excellenceWorking knowledge of Ironclad, Google Workspace, and Microsoft WordPrior experience in high-growth startups and/or high-growth technology companiesPrior experience working with sales teamsPrior experience working with Fortune 1000 companies as customers and/or vendorsCompensationThe annual salary range for the target level for this role is $170,000-$200,000 + target equity + benefits (including medical, dental, vision, and 401(k)Benefits (for U.S.-based full-time employees)100% medical, dental & vision insurance coverage for youPartially covered for your dependentsOne Medical annual membership401k (including employer match on contributions made while employed by Ramp)Flexible PTOFertility HRA (up to $5,000 per year)WFH stipend to support your home office needsWellness stipendParental LeaveRelocation support for NYPet insurance
