Job Description:As Wood continues to grow and diversify to meet the demands of an everchanging world, the Contracts function plays a leading role in supporting each of Wood's strategic pillars including the acquisition of new business and new business types with an appropriate balance of risk and in accordance with Wood policies and governance framework.At a high level the job objectives are, under supervision;
  • Deliver and prioritize contract review workload across supported business(es) in alignment with business requirements.
  • Assist the implementation of applicable Group Legal and Commercial Policies and processes within the supported business.
  • Assist the implementation of common ways of working to maximize value, gain efficiencies and minimize risk to Wood
  • Managing and maintaining key internal interfaces within supported (es)
Responsibilities:

Assists, supports, and delivers, under limited supervision:Functional activities within the assigned Business(es) including drafting, review, and negotiation of:Confidentiality agreements / NDAs in accordance with business needsClient contracts (bespoke and standard forms) including project specific contracts and MSAs.Drafting and review of financial instruments (Bonds / Letters of Credit, PCGs, Collateral Warranties)MOUs and exclusive arrangements all in accordance with Wood's group wide policies and approval processes.
  • Reviewing proposed contract qualifications with other functions, as required, to ensure the balance of risk is appropriate for the associated services and remuneration model.
  • Negotiation of contractual terms with clients
  • Providing overviews of contract T&Cs and associated issues to senior management and execution teams, as applicable
  • The provision of specific contracts related inputs to the Tender Governance Process
  • Identification of contractual risks for inclusion in the risk management process
  • Draft and develop prime contract flow down terms to be incorporated in to purchase orders and subcontracts, in conjunction with Supply Chain and other functions, as required.
  • The provision of contractual interpretation advice, as required.
  • Assisting with the timely provision of commercial deliverables (e.g. bonds, PCGs, evidence of insurance) in accordance with contract requirements and Wood Policies.
  • Provision of contractual inputs to Commercial Handovers, including mitigations and actions required by Contracting Policy approvals.
Assists and Supports under supervision:
  • Preparation, negotiation establishment and administration of Joint Venture and / or Partnering agreements
  • Alignment of contractual terms, including management of change, with the associated contract remuneration model
  • The pursuit of Wood's assertive claims and/or defending claims against Wood including, as required.
  • Participation in Wood in industry wide contracts initiatives and workgroups (e.g. Oil and Gas UK or equivalent) under the supervision of their manager.
  • Subcontract formation and main contract flowdowns in conjunction with other functions, as required.
Qualifications:
  • Degree required: Law
  • Legally qualified
Knowledge, skills and experience:
  • Experience and proven track record of contract review, drafting and negotiation in a service company environment.
  • In addition to undergraduate degree or equivalent work experience, the individual should have work experience in the industry which would allow understanding of and exposure to key contracting principles.
  • Working knowledge of contract terms, contract principles and drafting and roll out of contracting policies.
  • Working knowledge of the Company Finance and P&O systems.
  • Awareness of all relevant corporate and project procedures.
  • Excellent understanding of Client contract structures, principles, and policies.
  • Relevant Client Facing Contracting Experience: 5-8 years
