One of our clietnts is a leading global corporation operating in various industries, with a strong focus on strategic growth and expansion through mergers and acquisitions. With a robust portfolio of successful deals and a commitment to innovation, they are currently seeking a highly skilled Corporate M&A Associate to join our legal team.Position Overview:As a Corporate M&A Attorney, you will play a pivotal role in our organization's growth strategy by providing legal guidance and support throughout all stages of the mergers and acquisitions process. You will work closely with cross-functional teams, including executives, finance professionals, and external legal counsel, to ensure compliance with applicable laws and regulations and to execute successful transactions. This is an exciting opportunity to work on complex and high-profile deals, contributing to the long-term success of our company.Responsibilities:1. Provide legal advice and guidance on all aspects of the mergers and acquisitions process, including due diligence, deal structuring, negotiation, and documentation.2. Draft, review, and negotiate a wide range of transactional agreements, such as purchase agreements, merger agreements, confidentiality agreements, and other related legal documents.3. Conduct thorough legal due diligence reviews to identify and mitigate potential risks and liabilities associated with target companies.4. Collaborate with internal stakeholders, external legal counsel, and other professionals to ensure compliance with legal and regulatory requirements.Qualifications:1. Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the state bar association.2. A minimum of 3-7 years of experience as a corporate attorney with a focus on mergers and acquisitions, preferably in a law firm or in-house legal department of a large corporation.3. Strong expertise in corporate law, securities regulations, and contract law related to mergers and acquisitions.4. Proven track record of successfully handling complex M&A transactions from inception to closing.5.
