- Responsible for legal matters related to US and international subsidiary and entity formation, management, and dissolution, including corporate formalities such as preparation, execution and documentation of board, director and shareholder actions and meetings, preparing filings such as annual reports, corporate, tax and similar filings.
- Assist with critical deliverables of the Corporate Secretary’s Office, including the annual proxy, SEC Section 16 filings, and supporting the Board of Directors.
- Support various corporate administrative processes including distributing legal documents and agreements for signature, notarizations, apostilles, legalized documents, certified copies, corporate filings, powers of attorney, and other corporate documents as needed.
- Manage and provide oversight and support in the records and data integrity of all information pertaining to US and international subsidiaries, including maintaining US and international subsidiary corporate minute books, global corporate structure charts, and global subsidiary director and officer lists.
- Help manage third-party law firms and other vendors that provide services to the Corporate Secretary’s Office.
- Working knowledge of entity management tools
- Familiarity with SEC filings and forms
- Ability to operate in a deadline-driven environment
- Demonstrated analytical ability, excellent judgment and initiative
- Ability and willingness to operate independently and take initiative in a fast-paced environment with minimal supervision
- Strong organizational skills, ability to prioritize a rapidly changing workload
- Strong interpersonal skills and the ability to collaborate with individuals at all levels of the organization in a positive, service-oriented manner.
- Ability to work in a cross-functional and geographically dispersed environment with multiple stakeholders and team
- Extremely detail-oriented with excellent written and oral communication skills
- 3+ years of relevant corporate legal experience, ideally at a law firm or in-house at a multinational company, including exposure to corporate law, finance, and tax.
- College Degree and/or Paralegal Certificate from accredited institution
- Direct experience with US and international corporate governance and legal entity management as a corporate paralegal supporting multinational companies with international business operations
- Corporate Secretary experience, preferred
