As a prospective employee of Nightwing, you’ll have the chance to contribute to our continued success and shape the future of our cybersecurity, intelligence, and services offerings.Nightwing is seeking an experienced Paralegal to support its growing legal department and business.Job Responsibilities:Assisting with subsidiary governance/entity management of designated subsidiaries, including the preparation, adoption and administration of corporate actions such as internal policy approvals, formation/liquidation documents, bylaws, board/shareholder resolutions, elections/resignations, dividends, powers of attorney, various registrations and government filings.Assists with corporate transactions that include corporate architecture, joint companies and associations, subsidiary governance, and entity management.Organizing and managing documents, including the creation of spreadsheets and retrieval systemsCompiling information and preparing statistics, charts, graphs, reports and other summaries from centralized databases to illustrate findings.Perform web-based research tasks, including finding relevant regulations and statutes related to subsidiary governance and entity management.Tracking and reporting on company trainings.General records management related to Legal Department documents including corporate policies and procedures, board documents, intellectual property documents, general memoranda for specific legal projects, select litigation and investigation related documents, select employment-related documents, and corporate entity documents.Tracking and managing legal department related invoices, including vendors and outside counsel invoices, in a central database.Prepare/authenticate documentation as needed.Qualifications and Skills:Participating in educational opportunities to keep up to date on job knowledge.Reading professional publications.Excellent organization skills.Attention to detail.Legal research and investigation skills.Ability to follow direction and procedures.Strong written and oral communication skills.Ability to prioritize workload and assignments.Education and Experience Requirements:Bachelor’s Degree.Paralegal certificate from an ABA accredited program preferred, or a combination of education and/or experience.5+ years of substantive experience as a paralegal/legal assistant.Experience with corporate governance, transaction, and general legal department administration related documents, tasks (as described in the Job Responsibilities section above), and records management practices.Proficiency with MS Word, MS Excel and MS PowerPoint.Proficiency with legal department administration related systems (i.e. for billing tracking, legal research technology).Previously part of a leading Fortune 100 company and headquartered in Dulles, VA; Nightwing became independent in 2024 but continues to support the nation’s most mission impactful initiatives.When we formed Nightwing, we brought a deep set of credentials and an unfaltering commitment to the mission. The salary range provided is a good faith estimate representative of all experience levels.
