WPP is on the lookout for a 12-month FTC Senior Company Secretarial Assistant/Assistant Company Secretary.Imagine being at the forefront of managing subsidiary governance matters while being an integral part of a dynamic team. As you'll be reporting to the Company Secretary, your expertise and contributions will play a pivotal role in delivering an exceptional company secretarial service to WPP.What you'll do:Working with WPPs subsidiaries, your responsibilities will include.
  • Global Governance and Cosec Administration: You will provide essential assistance in managing the governance and corporate secretarial functions for WPP's subsidiaries. This includes identifying strategies for improved efficiency and implementing process enhancements.
  • Ownership and Structure Information: You'll be responsible for promptly responding to inquiries regarding the ownership and structure of the WPP group.
  • Statutory Compliance and Meetings: Maintaining statutory registers on GEMs (WPP's entity management system), including handling regulatory filings. Arranging meetings for UK entities when necessary and drafting resolutions and minutes.. Additionally, you'll be handling statutory form filings and ensuring document execution requests are well managed. Managing the flow of senior management document executions and filings as required.
  • Entity Rationalization and Auditor Transition: You will support initiatives related to WPP's entity rationalization program and assist in any transitions with external auditors.
  • Statutory Accounts Process: Collaborating closely with Group Finance and external auditors, you'll be involved in the statutory accounts process for UK subsidiaries.
  • GEMs Database Maintenance: Ensuring compliance, conducting audit and integrity checks on the GEMs database, and maintaining an up-to-date list of entity contacts.
Your broader Co Sec duties may also include.
  • Regulatory Compliance: Ensure compliance with UK/US governance requirements (i.e., LSE, NYSE, FRC, FCA, SEC)
  • Shareholders: Own personal shareholding queries (dividends, voting, administration) and Share Dealing requests
  • Reporting and Disclosure: Support the Annual Report and event planning, and support compliance with UK Market Abuse Regulations, including insider lists maintenance.
What you'll need:
  • Part or fully CGI qualified or equivalent with practical experience and a deep understanding of Company Secretarial work
  • Great knowledge of company law and administration, and well-versed in corporate governance best practices.
