Find us wherever there's a challenge to be tackled and an impact to be made.Our Legal, Risk & Compliance practice are looking for a Senior Legal Counsel to join the teamLegal Risk and Compliance (LRC) partners with the business, providing specialised legal, commercial and risk management support to enable confident growth. Everything from shaping and negotiating client and supplier contracts, to strategic partnerships, geographical expansion, insurance and company secretarial, restructuring, support for our corporate team (Baringa Enablement), to enterprise risk management.What will you be doing?This role will lead support for corporate work and report into the Legal Director, working closely with the LRC and Baringa Enablement teams and wider firm leadership. We are looking for someone to split their time between commercial contracts, corporate governance/ co sec matters and support for our corporate functions.This role will involve:
  • Providing legal support for Baringa's Enablement teams (People, Finance, Marketing, Sustainability, Technology).
  • Prepare and negotiate supplier contracts, working closely with the relevant consultancy staff member or member of the Enablement team.
  • Undertake corporate projects including the analysis of structures for overseas entities and to work with local law firms and Baringa's tax advisers in handling such corporate matters.
  • Complete corporate filings and support entity management.
  • Liaising with Baringa's insurance brokers, under the direction of the Legal Director (Head of Commercial and Corporate) to support placement and management of Baringa's insurances.
  • As Baringa's business grows, developing and supporting a team of more junior lawyers.
This is a critical role in the Baringa Legal team, working directly with partners and senior leadership across the firm, and coordinating with others across Baringa Enablement (People, Finance, Data, IT, Infosec and others).Your skills and experience
  • Qualified solicitor or barrister in England & Wales or a commonwealth country, with a minimum of 5 years of post-qualification experience.
  • Confident negotiator with skillset to handle complex discussions with large international clients, banks and their external law firm advisors.
  • Experience of corporate and company secretarial.
  • In-house experience advantageous but not essential.
  • Solid contract drafting skills.
  • Understanding of international business practices and cultures.
  • Interest in, and up to date knowledge of, legal developments in the digital, data industry and technology industry.
  • Ability to work with senior stakeholders and as a coach for other counsels in the team.
