The Associate Transaction Counsel is an in-house legal opportunity to assist with the origination, closing and asset management components of C-PACE financing transactions ranging from $5,000,000 to $25,000,000+.Key Responsibilities and Duties
  • Drafting and negotiating commercial C-PACE financing documents and related agreements.
  • Performing legal diligence on transactions, including, as needed: review of capital stacks and other financing sources’ documentation, review of environmental status and documents, review of borrower organization documents, title work, condominium documents, lease agreements, contractor installation agreements, etc.
  • Identifying, evaluating and addressing issues of legal risk.
  • Reviewing closing, conveyancing, loan, and corporate resolution documents in connection with transactions.
  • Tracking transaction tasks, parties, and key dates, and communicating progress to team as issues and tasks are resolved.
  • Managing post-closing matters.
  • Assisting on corporate governance and regulatory matters germane to the C-PACE investment class, as necessary.
  • Conducting basic legal and business research.
  • Similar responsibilities as needs dictate.
Educational Requirements
  • Doctoral Degree Law Required
