We are looking for an experienced corporate lawyer and company secretary to join our dynamic team. In this role, you will have the opportunity to apply your expertise as corporate counsel and company secretary to various group entities in Switzerland and EMEA, supporting the board and management in the fulfilment of their duties. You will be based in Zurich and part of an international team.About the RoleThe successful candidate will:
  • Be the company secretary and/or provide company secretarial and corporate governance support to various Swiss Re legal entities, their branches and/or subsidiaries, primarily in Switzerland and Germany but also in other locations in EMEA. This will involve accountability for board, committee and shareholder meetings as well as ensuring compliance with Swiss Re's internal Corporate Governance framework.
  • Be a trusted partner to the business teams, boards, committees and management members, providing high quality corporate legal advice, clearly articulating legal risks and opportunities, and offering pragmatic solutions.
  • Prepare and deliver presentations and trainings to a variety of audiences on legal and governance topics.
  • Participate in projects such as corporate restructurings, reorganizations or expansions into new markets, as well as initiatives to improve processes and productivity.
  • Monitor applicable legal and regulatory developments and provide clear, actionable legal reporting of key risks.
  • Manage outside counsel.
About the TeamThis position is in the Corporate Governance & Operations team, part of the wider Legal P&C and L&H Reinsurance team in the Legal & Compliance Division. The position reports directly to the Head of Company Secretariat EMEA, who is also based in Zürich. The broader team has colleagues (including lawyers, paralegals and company secretaries) in various locations around the world and provides shared corporate governance and secretariat services to legal entities across the Swiss Re Group.About YouAre you up for the challenge?We encourage your application if you:Qualification and Experience
  • are a corporate lawyer with expertise in Swiss corporate and regulatory matters and ideally a qualified Swiss lawyer with a minimum of 4 years of experience in a global financial services organization or law firm.
  • can draft minutes, agreements, corporate documents, legal advice and other business records in English and German to a professional standard. A good command of additional languages is a plus.
  • can independently advise on legal issues relating to corporate law, market conduct, outsourcing, tax and finance, and can also apply sound judgement beyond the dimensions of laws and regulations.
