- Analyzes complex underwriting contracts, uncovers hidden liabilities to prepare non-binding indication letters, insurance policies and binder agreements through advanced techniques.
- Navigates complex legal landscapes, mitigates legal risks, and develops optimal coverage structures through strong partnerships with internal and external legal counsel.
- Identifies potential for growth and risk mitigation and proposes actionable initiatives to underwrite warranty and indemnity insurance policies in connection with M&A transactions.
- Ensures proper and timely entries in underwriting systems to track exposures, analyzes trends, and supports in the implementation of the M&A underwriting strategy.
- Analyzes complex M&A deal specific data and provides actionable insights to senior management for successful underwriting of complex sensitive products in representations and warranties insurance, tax liability insurance and contingent liability insurance.
- Implements and enforces quality assurance measures, reviews policy wordings, and conducts audits to maintain the highest underwriting standards and compliance.
- Adapts communication style and leverages understanding of warranties & indemnity, tax & contingence insurance to deliver critical information, and addresses concerns.
- Monitors regulatory changes, market shifts, M&A deal structure, jurisdiction and indemnification obligations and evolving legal trends to improve underwriting approaches.
- Cultivates a collaborative and efficient underwriting environment, provides expert guidance, coaching, and development opportunities to junior underwriters.
- Bachelor’s degree required, Master’s degree preferred; Business Administration, Finance, and Risk Management preferred. Any other related discipline or commensurate work experience considered.
- 5+ years of work experience in M&A or Financial Underwriting with a Bachelor’s degree or 3 years of work experience with a Master’s degree.
- State P&C and/or surplus line license is required.
- Certified Insurance Service Representative (CISR), Certified Merger and Acquisition Advisor (CM&AA) a plus.
