They will lead, manage and deliver the full suite of services to each of their clients while ensuring profitability, a high rate of client satisfaction, and managing risk.Key Accountabilities:Assume responsibility for leading and strengthening relationships with key client stakeholders such as a corporation’s board of directors, executive management and various business headsBuild relationships with key centers of influence/ business partners such as: Transfer Agents, Printers, Broadridge and other mail houses, Trustees, Client’s advisors and investment bankers, Client’s legal counsel, Global Depositories and their participants (Banks, brokerage firms, custodians etc.)Leverage off their experience and knowledge to create and deliver tailored solutions to corporate transactions and meetings that yield the best possible results for clientsSupport corporate clients by acting as an advisor on shareholder communications, corporate governance and voting impacts as they relate to institutional investor voting, corporate action transaction processing and stakeholder engagementAssess requirements of each corporate meeting mandate by conducting a formal onboarding process that includes an initial exploratory meeting with the client, in-depth research and analysis of the company’s historic voting trends, peer comparative analysis on compensation, board diversity, voting results on shareholder proposals, and reviewing the impact of the company’s top institutional investor voting behaviour and guidelinesDefine and propose to clients a security holder and/ or intermediary (Broker, Bank or Custodian) communication strategy for any given mandate, to yield the best possible result and participationAssists corporate clients with the preparation of Shareholder meetings by gathering historic voting and corporate information, conducting a trend analysis on past AGMs, providing them with a competitive analysis from an ESG perspective, identifying any issues that may surface and proposing solutionsCo-ordinate and lead campaigns by ensuring that all deliverables are met within scheduled timelines and all parties are engaged and informedReview Tender Offers to Purchase, Consent Statements and Management Information Circulars and provide any suggestions on best practices, suggestions, comments and edits as appropriate and ensure that all documentation is clear and accurate with respect to the voting, consent, or tender process.Work with the company’s legal counsel by advising on how to customize election and/or proxy instruction forms as required for each mandate based on the operational and/or legal requirementsLead and coordinate various internal groups to upsell and deliver complimentary products and services such as Depositary, Tabulation, Printing and Payment Agency ServicesManage all aspects of the mandate by leading all activities and acting as the central contact for all corporate issuer communications, queries and requestsResearch, identify and analyze the security holder base for each corporate issuer client by creating a custom Shareholder Composition Report that identifies key institutional investor voting power and influencePrepare detailed analytical reports on each corporate meeting; reviewing the results, conducting peer comparisons and impacts including the provision of detailed institutional investor rationale for voting and the impact of the proxy advisory recommendations on the meeting resultsRepresent the Company professionally.Assist with development of thought leadership pieces and contentAssist with the review of prospects for new business by reviewing press releases, SEDAR filings; and research opportunities.Other duties and responsibilities as assigned.Must Have (s):3 to 4 years of proven experience in a similar or client facing/relationship management role within the Financial services or Investment industry experience is required (Custodian/broker back office/ Investment Management/ TA business / ESG Advisor or Corporate Actions, Proxy Solicitation)Strong interpersonal skills, decision making, and problem solving skillsDevelops and maintains positive relationships with internal and external clients.
